Welcome to Priority by Studio Greens! These Terms and Conditions (“T&C”) govern the use of our website and the sale of our products to business customers only. By accessing our website or placing an order, you agree to be bound by these T&C. Please read them carefully.
- Eligibility and Scope of Service
- Business Customers Only: Priority by Studio Greens supplies products exclusively to restaurants, hotels, cafes, and other hospitality businesses. By ordering, you confirm that you are a business customer (not an individual consumer) and have the authority to bind the business to these terms. Consumer protection laws may not apply to B2B transactions.
- Service Area: We currently deliver within Guwahati, Assam, and select nearby areas only. Orders for delivery outside our service area will not be accepted. Customers must ensure their delivery location is within our eligible service areas before placing an order.
- Acceptance of Terms: Placing an order or accepting delivery of the goods constitutes your acceptance of these Terms and Conditions. Any terms you seek to impose are excluded unless agreed by us in writing.
- Future Services: These T&C also apply to any future services we may offer, such as subscription plans or standing orders for regular deliveries, as described in Section 8.
- Account Registration
- You may be required to register an account on our website to place orders. You must provide accurate business information (business name, address, contact person, GSTIN if applicable, etc.) and keep it updated.
- You are responsible for maintaining the confidentiality of your account credentials and restricting access to your account. All activities under your account will be deemed authorized by you.
- We reserve the right to refuse registration or cancel accounts at our discretion if misuse or violation of these terms is suspected.
- Orders and Order Process
- Placing Orders: Orders can be placed through our website by logged-in business customers. All orders are subject to acceptance by Priority by Studio Greens. Once placed, you will receive an order confirmation via email.
- Minimum Order Value: Each order must meet a minimum value of INR 1,000 (exclusive of taxes and delivery charges, if any). Orders below this amount will not be processed.
- Order Acceptance: We reserve the right to accept or reject any order. Confirmation of order availability and delivery schedule will be provided after order placement. In case we cannot fulfill an order, we will inform you as soon as possible and arrange a suitable solution (revised delivery or cancellation/refund).
- Changes to Orders: If you need to modify an order (such as adding or removing items, or changing quantities), you must request the change within 3 hours of placing the order. After this 3-hour window (or once the order is being prepared for dispatch), no modifications can be accepted. Please note that significant changes might affect delivery times or the total order value (and the minimum order requirement still applies).
- Standing Instructions: If you have any standing instructions or special requirements for your orders (e.g., specific delivery timing requests), please communicate these clearly each time or have them noted in your account. We will make best efforts to accommodate reasonable requests but cannot guarantee all special instructions.
- Cancellation Policy
- Cancellation (Within 3 Hours of Order): You may cancel an order within 3 hours of placing it without any penalty, provided it has not already been dispatched. Cancellations can be made through the website order interface or by contacting our customer support as soon as possible. If the order was prepaid, we will refund the full amount for cancellations made within this 3-hour window.
- No Cancellation After 3 Hours: After the 3-hour cancellation window has elapsed, orders cannot be modified or cancelled. Once an order is being processed for dispatch or has been dispatched for delivery, it is considered final. Due to the perishable nature of our products and logistical constraints, you are obligated to accept and pay for orders after this point. Refusing or failing to accept an order that has passed the cancellation window may still incur the order charges.
- Company Cancellations: Priority by Studio Greens reserves the right to cancel orders (even after acceptance) in cases such as: the delivery location is outside our service area, the order does not meet the minimum value, items ordered are unavailable, or unforeseen logistical issues. In such cases, we will notify you and provide a full refund for any prepaid amounts. We shall not be liable for any damages or losses due to such cancellation beyond refunding the order value.
- Shipping and Delivery
- Delivery Area: We deliver only within Guwahati city and select designated PIN code areas in Assam. Currently, we do not ship products outside these local areas. Delivery addresses must be accurate and within our serviceable range. We may verify your PIN code or delivery location when you place an order.
- Delivery Schedule: Deliveries are made daily, typically 7 days a week, unless specified otherwise (e.g., unforeseen disruptions). We operate a daily delivery service to ensure a fresh produce supply. Specific delivery slots or timing may be arranged, but are subject to logistics. We will inform you of the expected delivery day/time upon order confirmation. While we strive to deliver on schedule, time is not of the essence – slight delays do not entitle cancellation.
- Order Cut-Off Time and Delivery Window:
Orders placed before 11:00 PM are eligible for next-day morning delivery.
Orders placed after 11:00 PM will be scheduled for delivery the day after next, allowing time for harvest, packing, and route optimization.
We advise placing orders before the daily cut-off to ensure timely fulfillment.
- Delivery Process: Please ensure that authorized personnel are available at the delivery address to receive and inspect the goods at the agreed time. We deliver to the doorstep of the business (e.g., the receiving area of your restaurant). If no one is available to receive the delivery at the agreed time, we will attempt to contact you. If delivery fails due to customer unavailability or an incorrect address, we may reschedule at our discretion, and additional delivery charges may apply.
- Risk of Loss: Risk and responsibility for the products pass to the buyer upon delivery of the goods to your address or into your custody. This means once delivered, you bear the risk of any loss, damage, or spoilage of the items. Please store the produce appropriately (e.g., refrigerated if required) immediately after delivery to maintain freshness.
- Delivery Failures & Delays: We strive for timely delivery but shall not be liable for delays or failure to deliver due to causes beyond our reasonable control (see Force Majeure in Section 9). In the event of a delay, we will endeavor to inform you and deliver as soon as feasible. You are still obliged to accept the goods when delivered within a reasonable timeframe.
- Partial Deliveries: If an order comprises multiple items and some are not available or are delayed, we may deliver the available items and either adjust the invoice or deliver the remaining items separately by arrangement. We will communicate with you on how you’d like to handle any shortfall (back-order or refund for missing items).
- Inspection on Delivery: Please inspect the delivered items immediately upon receipt, before the delivery personnel leaves if possible. Verify that all ordered items are present and in acceptable condition (fresh and free from obvious damage). (See Section 6 for the procedure to handle any issues with delivered goods.)
- Returns, Replacements, and Refunds (Perishable Goods Policy)
- No General Returns: Due to the perishable nature of fresh vegetables, we do not accept returns of products once delivered, except in the specific circumstances noted below. All sales are final. This policy is in place because items cannot be restocked or resold once they leave our controlled supply chain.
- Acceptance on Delivery: If your authorized representative (e.g., your restaurant staff) inspects the delivery and signs the delivery receipt or otherwise confirms acceptance at the time of delivery without noting any issues, the goods will be considered delivered in satisfactory condition. After such acceptance, no complaints or claims regarding that delivery will be entertained.
- No Returns for Unsold Stock: We cannot accept returns or offer refunds for products that you ordered in excess or could not use before spoilage, if those products were delivered in good condition and as ordered. It is your responsibility to order appropriate quantities for your needs.
- Exceptions: If we delivered an incorrect item that is non-perishable (e.g., a packaged product) or there is another extraordinary issue, we will handle it on a case-by-case basis with the aim of customer satisfaction. In all cases, Section 9’s limitation of liability applies – our maximum liability is the value of the goods in question, and we do not cover indirect losses such as lost business.
- Payment Terms
- Pricing: All prices for our products are listed in Indian Rupees (INR) and are exclusive of any applicable taxes. Any applicable GST (Goods and Services Tax) or other taxes will be added to the invoice at the prevailing rates as per Indian law. Any delivery charges or other fees will be communicated upfront during the ordering process. We reserve the right to revise product prices from time to time, but the price on your confirmed order will be honored.
- Payment Methods: We offer multiple payment options for your convenience:
- Payment on Delivery: You may pay in cash (Indian Rupees) to our delivery representative at the time of delivery. For payment on delivery orders, full payment is due upon delivery before the items are handed over. (We may introduce POS or digital payment on delivery – if available, details will be provided.)
- Online Prepaid: You can choose to pay at the time of ordering via our website using the available online payment gateways (which may include UPI, credit/debit cards, net banking, etc.). These payments must be successfully processed for the order to be confirmed.
- No Credit Facility: We do not offer any credit account terms under these standard Terms and Conditions. Each order must be paid either in advance or at the time of delivery. Any credit arrangement (if granted to a customer by special agreement) is outside these terms and would be separately agreed.
- No Set-off: The buyer (customer) is not entitled to set off any claims or damages against the invoice amounts due. Payment must be made in full for the invoiced amount, independent of any separate disputes.
- Invoice Discrepancies: If you believe there is an error or discrepancy in an invoice (for example, a billing mistake), you must notify us within 1 hour of the invoice date. We will review the issue and, if an error is found, will correct the invoice or issue a credit/refund as appropriate.
- Security Deposits: In general, we do not require any upfront security deposit. However, we reserve the right to request a deposit or advance payment at our discretion for very large or special orders. There is no fixed standard amount for such deposits; any requirement will be determined case-by-case and communicated to you in advance for mutual agreement. Please note that bulk orders (beyond typical volumes) are not allowed through our standard online ordering system. If you wish to place an unusually large order, you must contact us directly to arrange it, and such orders may be subject to separate terms and a possible deposit.
- Offers and Discounts: Any special pricing arrangements (such as volume-based discounts, introductory offers, etc.) will be honored as per their specific terms. If you have a negotiated contract or rate with us, those terms will apply in conjunction with these T&C.
- Taxes and Compliance: You are responsible for any taxes applicable to your purchases. We will collect and remit taxes as required by law. Business customers can provide their GST details to claim input tax credit where applicable. All transactions and invoicing will comply with Indian taxation and accounting laws.
- Subscription and Standing Order Services
We are continually improving our services, and in the future, we may offer subscription or standing order models for our customers’ convenience. This section outlines how such services would be treated under our Terms and Conditions (note: if there is any conflict, specific terms provided at the launch of a subscription service will prevail for those services).
- Subscription Model: If introduced, a subscription service would allow you to set up recurring orders (for example, a weekly assortment of vegetables delivered to you on a set schedule). You would agree to automatically receive and pay for orders at regular intervals. Details such as the product mix, frequency (e.g., weekly, bi-weekly), and pricing would be mutually agreed or pre-set as part of the subscription plan.
- Standing Orders: A standing order is similar to a subscription. It means you have a continuous order in place for a specified period or until canceled, ensuring a steady supply without the need to place individual orders each time. It is essentially a recurring order arrangement.
- Application of These Terms: All subscriptions or standing orders are subject to the same conditions outlined in these T&C. For example, the delivery, returns, and payment terms will apply to each recurring delivery under a subscription just as they do for regular orders. By enrolling in a subscription service, you agree that each recurring delivery is a separate sale under these same Terms.
- Additional Terms: We may provide additional or specific terms at the time of launching a subscription service (for instance, special discounts for subscribers, minimum commitment periods, or procedures for pausing/canceling a subscription). Those specific terms will supplement and, to the extent necessary, modify these T&C for subscription customers.
- Subscription Payment: We do not extend any credit period for subscription or standing order deliveries. Payment for each delivery under a subscription must be made either in advance or at the time of delivery. We may require an automatic payment method on file (such as a credit card authorization or bank mandate) to facilitate seamless recurring orders. If you prepay for a subscription cycle or series of deliveries, we may offer applicable discounts or incentives.
- Modifications & Cancellation of Subscription: You will be able to modify your subscription or standing order within certain limits. For instance, you might be allowed to change the items or quantities in your standing order or skip a delivery, provided you give sufficient advance notice (some services may require 7 days’ notice to change a scheduled delivery – our specific policy will be communicated at launch). You may cancel a subscription service if you no longer need it, subject to any minimum commitment or notice period. Cancellation of a subscription should be done in accordance with the process we provide (likely via your account settings or by contacting customer support). If you cancel, you will generally continue to receive any deliveries that have already been scheduled and paid for, but we will not renew the subscription thereafter.
- Standing Order Discounts: If we launch subscription services, we may also introduce loyalty or bulk discounts for standing orders (for example, a percentage off based on the number of recurring orders, or a discount for prepaying a month’s orders in advance). Details of any such program will be provided when available.
- Right to Discontinue: Priority by Studio Greens reserves the right to modify or discontinue any subscription or standing order service, but will honor any obligations for orders already paid or provide refunds if appropriate. We will notify subscribers in advance of any significant changes to the service or pricing.
- Legal Terms and Liability
9.1 Limitation of Liability
- No Indirect Liability: To the fullest extent permitted by law, Priority by Studio Greens (Maa Kameshwari Agro Products LLP) shall not be liable for any indirect, consequential, incidental, special, or punitive damages arising out of or related to the use of our website or the supply of goods. This includes, without limitation, any loss of profits, loss of business, loss of revenue, loss of goodwill, or downtime costs suffered by you or your business. We supply produce for your business, but we cannot be responsible for losses on your side that are not directly caused by our breach.
- Liability Cap: In all cases, Priority by Studio Greens’ total aggregate liability for any claim arising from an order (whether in contract, tort, or otherwise) is limited to the total amount paid (or payable) by you for that specific order of goods. For example, if there was an issue with a delivery worth INR 5,000, our maximum liability would be INR 5,000 for that claim.
- Direct Damages Only: You are entitled only to compensation for direct damages proven as a result of our failure to meet our obligations. Under no circumstances will we be liable for damages or losses that are not reasonably foreseeable or that were not caused by our breach.
- Product Quality Warranty: We warrant that the products supplied will meet reasonable quality standards and be fit for consumption at the time of delivery. However, aside from any express warranties stated in these terms, we disclaim all other warranties and conditions (express or implied) to the maximum extent allowed by law. This means we do not explicitly guarantee things like the products remaining fresh for any particular shelf life once delivered (as that depends on how you store and use them), or the suitability of the produce for a particular recipe or purpose beyond general consumption quality. Any implied warranties of merchantability or fitness for a particular purpose are excluded.
- Third-Party Liability: We are not liable for any harm or damage caused by third-party acts or omissions, including third-party carriers or delivery personnel once the goods have been delivered and accepted, or issues caused by your own storage and handling of the products after delivery.
9.2 Indemnity
- You (the customer) agree to indemnify and hold harmless Priority by Studio Greens and its partners, employees, and agents from any claims, liabilities, losses, or expenses (including reasonable attorneys’ fees) that arise out of or relate to your misuse of the website, violation of these terms, or violation of any law or rights of a third party by you. This means that if your use of our products or site causes a third party to sue us or causes damage to us, you will cover those costs.
- This indemnification obligation will survive termination of the business relationship. (For example, if you resell our products unlawfully or mishandle them causing injury and we are implicated, you must indemnify us.)
9.3 Force Majeure
- Neither party shall be liable for any failure or delay in performing its obligations (except payment obligations) if such failure or delay is due to circumstances beyond its reasonable control (“force majeure” events). Force majeure events include, but are not limited to, natural disasters, acts of God, fire, epidemics or pandemics, war, terrorism, civil disturbances, labor strikes or lockouts, transportation disruptions, governmental actions/regulations, or failures of suppliers.
- If a force majeure event affects our ability to deliver products, we will notify you as soon as practicable and make efforts to deliver as soon as the event is resolved. The time for our performance will be extended for the duration of the force majeure event. If the event renders fulfillment of your order impossible or impractical, we may cancel the affected order and provide a refund for any undelivered goods.
- The provisions of force majeure do not excuse your payment obligations for goods already delivered. If you are affected by a force majeure event that delays your payment, we expect prompt communication and will discuss possible arrangements on a case-by-case basis.
9.4 Intellectual Property
- Website Content: All content on the Priority by Studio Greens website, including text, images, graphics, logos, and software, is the property of Maa Kameshwari Agro Products LLP or its content suppliers and is protected by intellectual property laws. You may not use, reproduce, distribute, or create derivative works from our website content for any purpose other than for your own business’s ordering needs, without our express written permission.
- Trademarks: “Priority by Studio Greens” and its associated logos and designs are trademarks or service marks owned by Maa Kameshwari Agro Products LLP. All other product names and company names mentioned on the website may be trademarks of their respective owners. Use of our trademarks must be approved in writing by us.
- Feedback: If you provide any suggestions, feedback, or ideas to us regarding our services or products, we are free to use and implement those ideas without any compensation or attribution to you, and without any confidentiality obligations.
9.5 Governing Law and Jurisdiction
- Governing Law: These Terms and Conditions and any transactions between you and Priority by Studio Greens shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Provisions of the Indian Contract Act, 1872, the Sale of Goods Act, 1930, and other relevant commercial laws apply to our transactions.
- Jurisdiction: In the event of any dispute or claim arising out of or in connection with these T&C or any supply contract, the parties shall first attempt to resolve it amicably through mutual discussion. Failing an amicable resolution, such dispute shall be subject to the exclusive jurisdiction of the courts located in Guwahati, Assam, India. You agree to submit to the jurisdiction of such courts for any litigation. (If you are located outside Assam, you explicitly agree that Guwahati courts will have jurisdiction, to the exclusion of any other venue.)
- Dispute Resolution: We reserve the right to seek injunctive or equitable relief in any jurisdiction if necessary to protect our interests. Generally, however, any legal action will be brought in Guwahati. Both parties will bear their own legal fees.
9.6 Changes to Terms
Priority by Studio Greens may update or modify these Terms and Conditions from time to time. Changes will typically be driven by changes in law, our business model, or the introduction of new features/services. Whenever we update the terms, we will post the revised version on our website with a new “Last Updated” date. Material changes may be communicated via email to registered customers or via a prominent notice on the site.
- Continued Use or Orders: Your continued use of the website or placement of orders after any changes to the T&C constitutes acceptance of the new terms. If you do not agree to the revised terms, you should stop using the site and notify us so we can deactivate your account.
- Special Agreements: In rare cases, we may enter into a separately negotiated contract with a customer that includes customized terms. In such an event, those agreed terms will take precedence to the extent they differ from these standard T&C, but any provisions of these T&C that are not explicitly overridden shall still apply. Any variation to these standard conditions for an individual contract must be agreed in writing by an authorized representative of Priority by Studio Greens.
9.7 Miscellaneous
- Entire Agreement: These Terms and Conditions (along with any documents referenced herein, such as our Privacy Policy or specific service terms) constitute the entire agreement between you and us regarding the subject matter (the purchase of products via our website) and supersede any prior agreements or communications. You acknowledge that you have not relied on any representation, warranty, or promise not expressly stated in these T&C in entering into the agreement.
- Severability: If any provision of these T&C is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from the remaining terms and shall not affect the validity and enforceability of the rest of the provisions. The parties shall endeavor in good faith to replace any invalid or unenforceable provision with a valid one that is as close as possible to the original intent.
- No Waiver: Our failure to enforce any right or provision of these T&C shall not constitute a waiver of that right or provision. Any waiver of any provision of the T&C will be effective only if in writing and signed by our authorized representative.
- Assignment: You may not assign or transfer any rights or obligations under these T&C to any third party without our prior written consent. We may assign our rights and obligations to an affiliate or successor entity in the event of a merger, acquisition, or sale of business assets.
- Relationship: Nothing in these terms creates any agency, partnership, or joint venture between Priority by Studio Greens and the customer. We are independent contractors to each other.
- Notices: Any notices to you may be made via email, SMS, announcements on our website, or any other contact method you have provided. Notices to us should be sent to the contact address provided in the “Contact Us” section below, or through the communication methods listed on our website.
10. Confidentiality, Non-Disclosure, Non-Circumvention & Service Continuity Clause
By accessing, browsing, engaging with, or availing any services of Studio Greens through this website or otherwise, the user (including customers, vendors, partners, or any third party) expressly agrees to the following:
10.1 Confidential Nature of Services
All information, materials, communications, and knowledge relating to Studio Greens’ services—including but not limited to operational methods, cultivation processes, pricing structures, supply chains, vendor networks, client associations, and business strategies—shall be deemed strictly confidential and proprietary.
10.2 Prohibition on Disclosure (“Outing”)
Users shall not, without prior written authorization from Studio Greens, directly or indirectly disclose, reveal, publish, or communicate any information concerning Studio Greens’ services, involvement, or association with any project, client, or activity, whether through social media, digital platforms, commercial dealings, or otherwise.
10.3 Non-Circumvention Obligation
Users expressly agree not to bypass, circumvent, exploit, or attempt to establish direct or indirect dealings with Studio Greens’ employees, partners, vendors, suppliers, or associated entities in a manner that undermines or competes with Studio Greens’ business interests.
10.4 Mandatory Prior Notice for Disengagement (Service Continuity Obligation)
Any user availing services of Studio Greens shall be under a strict obligation to provide prior written notice of not less than [30-60] days before discontinuing, terminating, or moving away from such services.
Any abrupt discontinuation, withdrawal, or migration to alternative service providers without such prior notice shall constitute a material breach of these Terms.
This obligation applies irrespective of whether the disengagement is partial, complete, direct, or indirect.
10.5. Deemed Material Breach
Any unauthorized disclosure, “outing,” circumvention, or discontinuation without notice—whether intentional or otherwise—shall constitute a material breach of these Terms.
10.6. Consequences & Liability
In the event of such breach, Studio Greens shall be entitled to:
Seek immediate injunctive relief without prior notice;
Claim liquidated damages, not less than ₹[insert amount] or three (3) times the value of the associated transaction/engagement, whichever is higher;
Recover all consequential, reputational, and commercial losses, along with legal costs;
Restrict, suspend, or permanently terminate access to services without liability.
10.7. No Requirement to Prove Actual Damage
The user acknowledges that breach of this clause would result in irreparable harm to Studio Greens, and therefore agrees that monetary compensation alone may be inadequate, entitling Studio Greens to equitable remedies.
10.8. Survival & Binding Effect
This clause shall survive termination of website usage or cessation of any relationship and shall remain binding indefinitely.
10.9. Jurisdiction
All disputes arising under this clause shall be subject to the exclusive jurisdiction of the competent courts at Guwahati, and governed by applicable Indian laws.
11. Privacy Policy
We value your privacy and are committed to protecting your personal and business information. This section outlines how we collect, use, and safeguard data in the context of our services.
- Information We Collect: When you register or place an order with Priority by Studio Greens, we collect information such as your business name, billing and delivery addresses, contact person’s name, phone number, email address, and payment details (if paying online). We may also maintain records of your order history, preferences, and any communications with us (emails, phone calls, chats). If you browse our website, we may collect technical data like your IP address, browser type, and cookies (see “Cookies” section below).
- Use of Information: The information we collect is used for the following purposes:
- Order Processing: We use your details to process and fulfill your orders, arrange delivery, and handle invoicing and payments. For example, your address and contact number will be shared with our delivery team to ensure your vegetables reach you reliably.
- Customer Account Management: Your details are used to maintain your account and order history, and to provide you with an overview of past orders or to facilitate quick re-ordering.
- Customer Service: If you contact us with queries or issues, we will use your information to assist you. For instance, if you report a quality issue, we may reference your recent order details and delivery information to resolve it.
- Notifications: We will send you service-related communications, such as order confirmations, delivery updates, invoices, and important service announcements (e.g., changes in operating hours or updates to terms). These are transactional messages necessary for providing our service.
- Marketing and Updates: We may occasionally send promotional communications about new products, special offers, or industry updates that might interest you, but only if you have not opted out of such messages. As a B2B customer, you may receive periodic emails or messages about seasonal produce offerings or subscription plans. You can opt out of marketing communications at any time by contacting us or using the unsubscribe link in our emails. We will not spam you – communications will be relevant and infrequent.
- Improvement and Analytics: We may use aggregated and anonymized data (which does not identify you personally) to analyze service usage and improve our offerings. For example, analyzing order patterns can help us ensure we grow or source enough of a certain vegetable that is popular with chefs, or optimize our delivery routes.
- Data Sharing: We treat your information with confidentiality. We do not sell your personal or business data to third parties for marketing purposes. We only share your information with third parties under the following circumstances:
- Service Providers: We engage trusted third-party companies for certain services, such as payment processing, delivery logistics (e.g., if we partner with a courier for certain areas), or IT infrastructure. These providers are given only the information necessary to perform their functions (for example, the courier gets your address and contact to deliver your order, the payment gateway receives your payment details securely to process payments) and they are contractually obligated to keep your data secure and use it solely for the intended purpose.
- Legal Compliance: If required by law, regulation, or governmental request, or if necessary to enforce our terms or protect our rights, we may disclose relevant information. For example, to comply with a tax audit we might need to share invoices containing your business details with tax authorities.
- Business Transfers: In the unlikely event that our company or its assets are acquired or merged with another entity, customer information might be transferred to the new owner to ensure continuity of service. In such cases, we will require that the successor is bound to respect the commitments made in this Privacy Policy.
- Data Security: We implement reasonable security measures (administrative, technical, and physical) to protect your personal information from unauthorized access or disclosure. This includes using secure servers, encrypting sensitive data (such as payment information), and performing regular security audits.
